1. AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "your," or "User") and NOX Agency, a US Limited Liability Company registered in Wyoming, United States ("Company," "we," "us," or "our"), with a registered address at 30 N Gould St, STE R, Sheridan, WY 82801, USA.
These terms govern your access to and use of the nox-agency.com website and any associated mobile application, including our AI-enabled personal assistant, concierge directory, and lifestyle services (collectively, the "Services").
READ THESE TERMS CAREFULLY AND COMPLETELY. THESE TERMS CONTAIN A DISCLAIMER OF WARRANTY, A LIMITATION OF LIABILITY, AND A MANDATORY ARBITRATION PROVISION THAT REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS, AND LIMIT THE REMEDIES AVAILABLE TO YOU IN A DISPUTE.
By accessing the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you do not agree with all of these terms, you are expressly prohibited from using the Services and must discontinue use immediately.
2. SERVICE DEFINITION & LICENSE STATUS
2.1 Independent Technology Platform: NOX Agency is a technology-enabled personal assistant and directory service. We are not a travel agency, tour operator, reservation reseller, venue owner, venue operator, event organizer, or hospitality provider. We do not own, operate, manage, or control any of the venues (restaurants, clubs, lounges, hotels, or other establishments) listed on the platform.
2.2 Nature of Service: We provide an informational platform for users to discover luxury venues and utilize a digital and/or human-backed assistant to facilitate requests. NOX Agency acts solely as an intermediary and facilitator between users and third-party venues.
2.3 No Guarantee of Entry, Availability, or Service:
NOX Agency does not sell, resell, or guarantee venue availability, entry, seating, reservations, service quality, safety, or any specific experience or outcome.
Venue Door Policies: All venues maintain absolute and exclusive control over their door policies, entry decisions, and service provision. Venues have the unrestricted right to refuse entry or service to any person for any reason or no reason.
NOX Agency has no control over and is not responsible for venue entry decisions. Even if NOX Agency facilitates a booking or reservation, the venue retains sole authority to grant or deny entry.
No Liability for Denial: NOX Agency shall not be held liable, and you waive any claims against NOX Agency, for any denial of entry, refused service, removal from premises, cancelled reservations, or failure to honor bookings for any reason whatsoever.
2.4 Venue Availability and Information:
All bookings facilitated are subject to the venue's own real-time availability, terms, conditions, and operational status.
Venue information is provided for informational purposes only and may change without notice.
NOX Agency is not responsible for venue availability changes, closures, or discrepancies between information displayed on our platform and actual venue conditions.
2.5 No Endorsement: The inclusion of any venue on our platform does not constitute an endorsement or guarantee by NOX Agency. All venue selections and decisions are made at your own risk and discretion.
2.6 Third-Party Services: You acknowledge that all venues and service providers are independent third parties. NOX Agency makes no representations regarding the quality or safety of any third-party services.
3. MEMBERSHIP, PRICING & PROMOTIONS
3.1 Service Tiers:
One-Time Service: A single-use fee for one-off concierge assistance.
Membership: Recurring subscription providing ongoing access to the platform and concierge services.
3.2 Premium Service Fees: We may charge a Premium Service Fee or Rush Fee for urgent requests. This fee is for the expertise and effort of our concierge team and access to our platform; it is not a purchase of a table or a credit toward your bill at any venue.
3.3 Founding Members Promotion: Users who join before December 31, 2026, are classified as "Founding Members." The standard $1,000 initiation fee is waived for this cohort for the lifetime of their continuous active membership.
3.4 Partner Extras & Commissions: NOX Agency may receive commissions or referral fees from certain venues. These do not influence our independent quality ratings or recommendations.
4. INTELLECTUAL PROPERTY & IMAGE ATTRIBUTION
4.1 Fair Use & Directory Purpose: NOX Agency operates as an informational directory. All venue images and descriptions used on our platform are for informational and referral purposes.
4.2 Attribution: We credit images to their respective owners/venues where practical.
4.3 Trademark Disclaimer: All venue names, logos, and brands are the property of their respective owners. Reference to them does not imply affiliation or endorsement.
4.4 Takedown Requests: If you are a copyright holder and wish to have an image removed or your venue delisted, contact [email protected]. We commit to a response time of 24–48 business hours.
4.5 User-Generated Content: Any content you submit to NOX Agency grants us a perpetual, worldwide, royalty-free license to use and display such content in relation to our business.
5. PAYMENTS, REFUNDS & CANCELLATIONS
5.1 Non-Refundable Policy: ALL FEES PAID TO NOX AGENCY ARE STRICTLY NON-REFUNDABLE EXCEPT AS EXPRESSLY PROVIDED BELOW.
5.2 Limited Refund Period: You may cancel your initial membership for a full refund within 14 calendar days of payment, provided no concierge services have been requested or facilitated. Requests must be sent to [email protected].
5.3 EU/UK Consumer Rights: Residents have a statutory 14-day "cooling-off" period unless services have been rendered. By requesting services during this period, you waive your right to cancel.
5.4 Service Rendered Rule: Once any concierge request has been initiated or work performed by our team, all associated fees are deemed fully earned and are strictly non-refundable.
5.5 Membership Auto-Renewal: Memberships automatically renew unless cancelled prior to the renewal date. No pro-rated refunds will be issued for early cancellation.
5.6 Chargeback Policy: NOX Agency has a zero-tolerance policy for fraudulent chargebacks. You agree to contact [email protected] to resolve disputes before contacting your bank. Unauthorized chargebacks will result in immediate account termination.
6. USER CONDUCT & VENUE RULES
6.1 Compliance: You must comply with all applicable laws and venue-specific rules (dress codes, age restrictions, etc.).
6.2 No-Shows and Cancellations:
Failing to honor a reservation may result in account termination.
You are solely liable for any no-show or cancellation fees charged by venues. If a venue charges NOX Agency for your no-show, you authorize us to charge your payment method on file.
6.3 Personal Use Only: Reservations are for personal use only. You may not resell, broker, or transfer reservations made through our Services.
6.4 Respectful Conduct: Abuse of venue staff or NOX Agency team members will result in permanent account termination without refund.
7. LIMITATION OF LIABILITY & DISCLAIMERS
7.1 AS-IS Basis: The Services are provided on an "as-is" basis without warranties of any kind.
7.2 Third-Party Services: NOX Agency is not responsible for the quality, safety, or pricing of third-party venues. We do not maintain liability insurance for user-related incidents occurring at third-party venues.
7.3 Limitation of Liability: To the maximum extent permitted by law, NOX Agency’s total aggregate liability shall not exceed the lesser of: (a) the amount paid by you to NOX Agency in the one (1) month preceding the event; or (b) $100 USD.
8. INDEMNIFICATION
You agree to indemnify and hold harmless NOX Agency from any claims, damages, or expenses arising from your violation of these Terms, your use of the Services, or your conduct at any venue.
9. DATA PRIVACY
Our collection and use of personal information are governed by our Privacy Policy. By using the Services, you consent to data processing and international transfers as described in our policy. For any data-related inquiries, contact [email protected].
10. BINDING ARBITRATION & DISPUTE RESOLUTION
10.1 Agreement to Arbitrate: All disputes will be resolved solely by binding, individual arbitration administered by the American Arbitration Association (AAA) in Sheridan County, Wyoming.
10.2 Class Action Waiver: You and NOX Agency agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.
10.3 Opt-Out Right: You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these Terms.
11. GOVERNING LAW
These Terms shall be governed by the laws of the State of Wyoming, United States. For any disputes not subject to arbitration, you submit to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.
12. MODIFICATIONS TO TERMS
We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on nox-agency.com or via email. Your continued use of the Services constitutes acceptance of the modified Terms.
13. TERMINATION
You may terminate your account at any time by contacting [email protected]. NOX Agency reserves the right to terminate your access at any time, without notice, for violations of these Terms or conduct that harms our business.
